Aon has acquired USI Insurance Services for $17.0 billion in cash, a transaction that significantly expands the buyer’s footprint in the middle-market insurance brokerage segment. The deal, which was finalized after receiving regulatory approvals, positions Aon to serve a broader range of commercial clients across the United States.

USI, headquartered in Valhalla, New York, is one of the world’s largest insurance brokerage and consulting firms. It delivers property and casualty coverage, employee benefits, personal risk, program and retirement solutions to clients ranging from large risk management accounts to smaller firms and individuals. The company operates through approximately 200 offices and employs more than 10,500 professionals, leveraging its proprietary USI ONE Advantage platform to integrate client solutions and local resources.

For Aon, the acquisition adds a substantial middle-market client base and a complementary distribution network. Aon’s existing strengths in large-account risk management and global data analytics will now be paired with USI’s deep relationships in the mid-sized commercial sector. The combined entity is expected to cross-sell services, particularly in employee benefits and retirement solutions, where USI has built a strong reputation.

The transaction also brings USI’s technology-driven service model into Aon’s broader portfolio. USI ONE Advantage, which focuses on customized, bottom-line results for clients, will be integrated with Aon’s proprietary tools to enhance service delivery. Aon has stated that the acquisition will accelerate its growth in the U.S. market, where competition for mid-sized clients has intensified.

The combined company will operate with a larger talent pool and a more extensive office network, allowing for greater local presence while maintaining global reach. Management teams from both firms are expected to remain in place to ensure continuity for clients. The integration process will focus on aligning service platforms and expanding product offerings without disrupting existing client relationships.
