The deal, finalized through a stock purchase agreement, transfers ownership of TCC and its portfolio of established supplement brands to cbdMD, which is known for its broad line of hemp-derived products.
TCC operates as a manufacturer and marketer of dietary supplements, holding a roster of legacy brands that include Twinlab, Metabolife, Alvita, and Trigosamine. The company runs its own NSF GMP for Sport certified production facility in American Fork, Utah, and distributes its goods to 55 countries. cbdMD, by contrast, focuses on premium CBD products such as tinctures, topicals, and gummies, sold primarily through direct-to-consumer channels and retail partners across the United States.
The acquisition is intended to broaden cbdMD’s product portfolio beyond CBD into the conventional supplement aisle, where TCC’s brands have maintained shelf presence for decades. For cbdMD, the deal offers immediate access to TCC’s manufacturing infrastructure and international distribution network, which could reduce reliance on third-party production and open new export markets. TCC, which has significant employee ownership, gains the financial and operational backing of a publicly traded parent company, potentially easing capital constraints on its own growth initiatives.
The combined entity will likely pursue cross-selling opportunities, pairing cbdMD’s hemp-based offerings with TCC’s vitamin and mineral lines in existing retail relationships.
