TabaPay has acquired Transact Bank N.A. for an undisclosed amount, a move that consolidates the payments infrastructure provider with a federally chartered financial institution. The transaction transfers ownership of the Denver-based bank to TabaPay, which will integrate the bank’s charter and operations into its existing payments network.

Transact Bank operates as an FDIC-insured, federally chartered bank focused exclusively on payment solutions for merchants and channel partners. Unlike traditional banks, it does not offer consumer banking, lending, or branch services. Its entire infrastructure is built to move money online, across networks, and internationally, with a technology stack designed for speed and adaptability in the payments sector. TabaPay, a payments platform that facilitates instant money movement for businesses, will now own a bank charter that can support its own settlement and clearing activities.

The acquisition is strategic for TabaPay because it brings in-house a regulated banking entity that can directly handle certain payment functions, reducing reliance on third-party partner banks. For Transact Bank, joining TabaPay provides a larger distribution network and access to a broader set of merchant clients, while preserving its specialized, transaction-only model. The deal is expected to shorten the time between a payment request and final settlement for TabaPay’s customers, as the bank’s charter allows for direct participation in payment rails.

No financial terms were disclosed, and the parties have not detailed the timeline for full operational integration. Regulatory approvals for the change in ownership were completed prior to the announcement. Transact Bank’s headquarters in Denver will remain operational, and its current leadership is expected to stay in place during the transition.

The combined entity will operate with a clear focus: a payments company that owns its own bank, rather than renting another institution’s charter. That structure could give TabaPay more control over compliance, speed, and cost per transaction. Whether this model attracts other payments firms to pursue similar bank acquisitions will depend on how smoothly the integration proceeds and how regulators view the arrangement in practice.
