The Penrod Company, founded in 1888, began as a manufacturer of forest products and has since evolved into a global supplier of forest, metal, and PVC materials for residential and commercial construction. With offices across major regions, distribution centers on multiple continents, and a trade network spanning international markets, Penrod serves as a key intermediary between raw material producers and construction firms. The company has also maintained a long-standing commitment to sustainable forestry practices, positioning itself as a compliant and responsible global operator.

Richelieu Foods, the acquiring entity, is a diversified food manufacturing and distribution company. While its core business lies in private-label and branded food products, the acquisition of Penrod represents a deliberate move to broaden its portfolio into building materials and supply chain services. Richelieu’s management cited Penrod’s established global logistics infrastructure and its reputation for reliability in construction supply as primary reasons for the purchase. The $70.0 million price reflects Penrod’s asset base, including its distribution centers and trade relationships.

The strategic rationale centers on vertical integration and market expansion. Richelieu Foods intends to leverage Penrod’s distribution network to streamline its own raw material sourcing for packaging and facility needs, while also entering the construction supply sector as a new revenue stream. The combined entity will retain Penrod’s global offices and distribution hubs, with no immediate plans for facility closures or workforce reductions. Richelieu Foods has stated that Penrod’s management team will remain in place to ensure continuity for existing contracts. Over the next two years, the parent company expects to integrate back-office functions while keeping Penrod’s sales and logistics operations largely independent. The acquisition is anticipated to close regulatory reviews without material conditions, and both companies have confirmed that no further divestitures are planned.
