CBRE Investment Management has acquired Realty Income Corporation in a deal valued at $1.6 billion. The transaction, which closed following regulatory approvals, transfers ownership of the San Diego-based real estate investment trust to the global investment management arm of CBRE Group.
Realty Income, known as The Monthly Dividend Company, operates as a REIT with a portfolio exceeding 15,500 properties under long-term net lease agreements with commercial clients. The company has paid more than 650 consecutive monthly dividends and holds a spot in the S&P 500 Dividend Aristocrats index, reflecting over 31 years of consecutive dividend increases. CBRE Investment Management, a major player in real estate investment strategies worldwide, will now oversee this income-focused portfolio as part of its broader asset management operations.
The acquisition gives CBRE Investment Management direct control of a large-scale, net lease portfolio with stable, contractually obligated cash flows. For Realty Income, the move provides access to CBRE’s extensive property management and capital markets infrastructure, which could enhance operational efficiency across its holdings. The deal also aligns with CBRE’s strategy to expand its presence in the listed and private real estate income space, leveraging Realty Income’s track record of consistent distributions.
Under the new ownership, Realty Income will continue to operate as a REIT, with its monthly dividend policy expected to remain intact. CBRE Investment Management plans to integrate the portfolio into its existing real estate equity platform, focusing on maintaining tenant relationships and lease terms. The combined entity will rank among the larger net lease operators globally, though no changes to property management or client contracts have been announced.
The transaction marks a shift in Realty Income’s corporate structure, moving from a publicly traded entity to a privately held asset under CBRE’s umbrella. Market observers will watch how the acquisition affects dividend growth and portfolio turnover in coming quarters, as CBRE applies its investment discipline to a business historically defined by steady, long-term leasing.
