ONE Nuclear Energy has completed its business combination with Hennessy Capital Investment Corp. VII, creating a publicly traded company focused on developing advanced nuclear, natural gas, and battery storage infrastructure. The combined company, ONE Nuclear Energy Inc., expects its shares to begin trading on the Nasdaq Global Market under the ticker symbol ONEN on or about September 24, 2026. The transaction amount was not disclosed in the sources.
The transaction was approved by Hennessy VII shareholders on August 24, 2026. Before closing, the special purpose acquisition company completed its domestication as a Delaware corporation. ONE Nuclear subsequently became a wholly owned subsidiary, and the combined company adopted the ONE Nuclear Energy Inc. name.
The transaction gives ONE Nuclear access to public capital markets as it advances approximately 5 gigawatts of energy generation capacity under development in Louisiana. Its development strategy combines natural gas generation with advanced nuclear small modular reactor technology. The company intends to use natural gas projects to address nearer-term electricity demand while advancing nuclear projects that could provide additional long-term power generation capacity.
Its initial development activities are concentrated in Louisiana, where it is pursuing three major projects designed to serve industrial customers, electricity networks, and the growing power requirements of AI infrastructure. Project Amberjack is a proposed multi-unit small modular reactor campus targeting up to 1 gigawatt of advanced nuclear generation capacity. Project Cayman comprises a proposed 2.88-gigawatt natural gas power plant and a 700-megawatt battery energy storage system with 2.88 gigawatt-hours of storage capacity, along with a co-located, high-capacity data center campus. Project Barracuda consists of a 1.2-gigawatt natural gas power plant, a 300-megawatt battery storage system with 1,200 megawatt-hours of capacity, and a co-located 1-gigawatt data center. Together, the three projects represent approximately 5 gigawatts of planned nuclear and natural gas generation capacity, complemented by battery storage infrastructure. These projects remain in development and have not yet entered commercial operation.
Richard Taylor, ONE Nuclear's co-founder, chairman, and CEO, will lead the newly public company. B. Riley Securities served as financial advisor to ONE Nuclear. Rose & Ward and Nelson Mullins Riley & Scarborough provided legal counsel, while ICR served as strategic communications advisor. Cohen & Company Capital Markets served as exclusive financial advisor and lead capital markets advisor to Hennessy VII. Sidley Austin provided U.S. legal counsel, and Appleby served as Cayman Islands legal advisor.
