Veritas Capital has acquired Bodycote in a deal valued at $2.5 billion. The transaction, which has been approved by Bodycote’s board, will see the private investment firm take full ownership of the UK-based thermal processing specialist. Bodycote shareholders will receive cash for their shares, marking the end of the company’s public listing.

Bodycote operates more than 165 locations across 22 countries, making it the world’s leading provider of heat treatment and specialist thermal processing services. These techniques improve the properties of metals and alloys, extending the life of components used across aerospace, automotive, and general manufacturing. Veritas Capital, a New York-based investment firm focused on companies that provide critical products and services, will add Bodycote to its portfolio of industrial and technology businesses.

The acquisition is driven by Veritas’s interest in Bodycote’s established global footprint and essential role in manufacturing supply chains. Thermal processing is a niche but indispensable step in producing high-performance metal parts, and Bodycote’s scale offers a stable revenue base.
