Teva Pharmaceuticals has acquired BioXcel Therapeutics, Inc. for $125.0 million. The all-cash transaction, which has been completed following regulatory clearance, transfers full ownership of the biopharmaceutical company to Teva. BioXcel, which focuses on developing transformative medicines in neuroscience through the application of artificial intelligence, will now operate as part of Teva’s broader pharmaceutical portfolio.
BioXcel’s core work centers on using AI-driven platforms to identify and advance drug candidates for neurological and psychiatric conditions. Its lead programs have targeted acute agitation in patients with schizophrenia and bipolar disorders, as well as other central nervous system indications. Teva, a global leader in both branded and generic medicines, brings substantial commercial infrastructure, regulatory expertise, and a deep presence in the CNS therapeutic area, which aligns closely with BioXcel’s pipeline.
The acquisition is intended to strengthen Teva’s neuroscience franchise by adding late-stage clinical assets that can be integrated into its existing development and commercialization pathways. For Teva, the deal provides access to BioXcel’s AI-based discovery capabilities, which could accelerate the identification of new drug candidates across multiple indications. BioXcel, in turn, gains the resources and scale of a large pharmaceutical company to advance its programs through later-stage trials and potential market launches.
The transaction also resolves BioXcel’s immediate financial pressures, as the company had faced funding constraints in advancing its clinical work. Teva’s acquisition ensures continuity for ongoing studies and preserves the scientific team behind the AI platform. The combined entity is expected to leverage Teva’s global sales network to maximize the reach of any approved products, while the AI tools may be applied to Teva’s broader research efforts beyond neuroscience.
